1. Extend of validity
   1. For all affiliate agreements only the following agreement conditions are valid. They are also valid for any future business relation, even when not explicitly contracted again. They are agreed upon by registering in the affiliate program.
   2. Deviating business conditions of affiliate members are without obligation, unless having been explicitly accepted by Sat Nam Europe in written form.
2. Agreement conclusion
   1. An agreement is taken with Sat Nam Europe, Gurbasant Singh Thielefeldt, Ringstrasse 98, 64823 Gross-Umstadt, Germany, following named Sat Nam Europe, after the registration of the member of the affiliate program by the confirmation of Sat Nam Europe through e-mail.
   2. Joining the affiliate program is only possible for persons with a minimum age of 18.
3. Registration
   1. Each member can sign in at the Sat Nam Europe online-shop by registering. At the registration, the member has to sign in with his name, in cases of legal societies additionally with the one of the official representative, the postal address (not: post box), Telephone and Fax number, and the e-mail address. The member is obliged to inform Sat Nam Europe immediately in case of change. False information entitles Sat Nam Europe to an immediate cancelling of the agreement.
4. Affiliate
   1. Members of the affiliate program are affiliates of Sat Nam Europe. The affiliates advertise and promote the offers and products of the Sat Nam Europe online-shop www.satnam.de through the setting of hyperlinks. For this, the affiliates receive a commission under the guideline of the following requirements.
   2. Joining the affiliate program is free of costs for the affiliates. The affiliates can chose freely from the offered advertisments and products, and can deactivate or change the set links at any time.
5. Amount of commission
   1. Sat Nam Europe pays a commission of 10 % of the net product-value of each order to the affiliate under the guideline of the following requirements for each order which is being achieved by the link of the website of the affiliate.
      After 24 hours the claim of the affiliate for a commission of a customer becomes invalid, unless this customer visits the Sat Nam Europe online-shop through the link of the affiliate again.
   2. For orders by yoga teachers who are registered as such in the Sat Nam Europe Shop and receive yoga teacher discounts, the commission is credited only up to a maximum yoga teacher discount of 10 %. For orders of registered yoga teachers which exceed 10 % yoga teacher discount, no commission can be credited.
   3. The amount of commission can be updated by Sat Nam Europe at any time after a period of three working days, the minimum being 1 %. Sat Nam Europe will inform the affiliates immediately about any changes.
   4. In case of the affiliate ordering in the Sat Nam Europe online-shop himself through the affiliate program, the commission will also be credited. When a partner is a registered yoga teacher and places orders himself through the affiliate program, the commission is credited up to a maximum yoga teacher discount of 10 %. The commission will not be credited in case the yoga teacher discount exceeds a maximum of 10 %, or in case the affiliate places orders by himself as a registered business customer through the affiliate program.
   5. The offers and products being offered on foreign websites through the affiliate program are intended mainly for private customers, Yogateachers and Therapists. In cases of orders by business customers through the affiliate program, who are registered as such and receive wholesale-prices, no affiliate commission is granted.
   6. The commission is calculated by the total amount within the statement period of all items sold through the affiliate program, excluding those items which have been returned by the buyer according to the legally regulated buyer's right of return.
6. Protocol and valueing
   1. Sat Nam Europe protocols all clicks and records them statistically. The protocols are accessible at any time in the protected affiliate area.
   2. The affiliate is obliged to set the HTML-codes offered by Sat Nam Europe in his website which are needed to record and protocol the users coming from the affiliate's website (code-obligation).
      The setting must be easy to find for normal users of the site and created in a useful way.
      Any kind of links contained in the offered HTML-code (incl. graphic links) shall not be deleted, changed or manipulated in any way.
      Sat Nam Europe will inform the affiliates in cases of necessary technical updates by e-mail. The affiliate is obliged to realize possible updates immediately. The non-installing, deleting, or manipulation of the recording codes entitles Sat Nam Europe to cancel the agreement immediately.
   3. The correct passing on of the referer lies alone in the responsibility of the affiliate. The referer is that part of the internet-link which indicates through which affiliate-website the user has come.
7. Claim of compensation for damages
   1. Should any of the activities of the affiliate cause any damage to Sat Nam Europe, for example in case of the intentional try of the affiliate to influence the statistics and therefore the payable commission by considerable manipulations (see example under paragraph 6), a claim of compensation for damages is asserted under existing legal regulations. This is also valid when a previously excluded member, who has been exluded for the reason of breach of contract, joins the affiliate program again or tries to do so.
8. Payment of commission
   1. The commission which has been achieved until the end of the previous month is being paid by the 15th of a month by bank wire, when the commission has a minimum value of 50,00 EUR. Upon the wish of the affiliate, the payment can also be withdrawn in smaller amounts.
   2. In case of the german duty for VAT-declaration, the payment is made adding the legal german VAT. The affiliate is obliged to inform Sat Nam Europe about any changes of his duty for the german VAT-declaration immediately by a prove of his fiscal office. In case there is no prove at the time of payment, the VAT is generally kept and paid separately to the fiscal office. After this, a clearing is not possible anymore due to organisational and technical reasons.
   3. If the monthly credit does not exceed 50,00 EUR, the payment is made with the payment of the following month. There will be no interest added. In case of an early cancelling of the agreement by the affiliate, the credit becomes invalid unless its value exceeds 50,00 EUR, otherwise it is being paid with the next payment.
9. Claim of lacks and Guarantee
   1. The affiliates must check the payments and reports immediately. Obvious lacks or errors have to be claimed and reported to Sat Nam Europe immediately and in written form. Lacks or errors which cannot be detected at first sight have to be reported and claimed immediately after their discovery in written form.
10. Cancelling
    1. The agreement can be cancelled ordinarily at any time with a period of three working days.
    2. The right of an extraordinary cancelling due to important reasons remains untouched. The attempt to influence or manipulate the assessments which are in accordance to the agreement, entitles Sat Nam Europe to cancel the agreement immediately. This counts especially for using misleading links or illegal contents, Spam, manipulations, non-installing of the recording codes, or false details. Further claims for compensation and especially asserting a penalty according to paragraph 7 of this agreement, as well as instituting legal proceedings, remain reserved in any case.
11. Technical lacks and errors
    1. Sat Nam Europe guarantees an access of the service of 95 % in the avarage of a month. Within this time the records by Sat Nam Europe are ensured.
    2. Sat Nam Europe is not responsible for intentional attacks of third parties (hackers, computer viruses, DoS-attacks and such) towards his Servers and the Internet.
12. Inadmissible contents
    1. Inadmissible is the sending of unwanted e-mail advertisments (Spam), the use of misleading links and the statement of false e-mail addresses, names or any other data.
    2. Sat Nam Europe is not obliged to check the contents of the affiliate websites and is not responsible for these. Members of the affiliate program are obliged to keep Sat Nam Europe out of any damage that could occur due to a violation of this duty.
    3. In case of a violation of this duty of agreement, Sat Nam Europe is entitled to cancel the agreement immediately.
13. Limitation of liability
    1. Any liablity of Sat Nam Europe for minor neglect of duty is excluded, so long as no major duty of contract (duties which basically enable the proper realisation of the contract, which, in case of violation, endanger the realisation of the purpose of the contract, and on whose keeping the affiliate trusts), damages due to violation of life, body or health are concerned. This is also valid for corresponding neglect of duty by any person or company who acts as fullfillment for Sat Nam Europe.
14. Textform
    1. Explanations towards Sat Nam Europe as well as modifications of the agreement require to be done at least in written form (e-mail, Fax). This also counts for the abolition of the neccessity of the written form.
15. Data protection
    1. All data of the affiliate members will be stored by Sat Nam Europe for the fullfillment of the agreement and for the communication within the affiliate program. They will be used only for the fullfillment of the agreement and will neither be given to third parties, nor used for advertising purposes.
16. Place of performance, court jurisdiction, choice of right
    1. Place of performance for all obligations and court jurisdiction for any issues concering the agreement is, as long as the affiliate is a registered business person or a legal entity, Gross-Umstadt. The agreement is subject to the legal rights of the Federal Republic of Germany, excluding the UN-purchase right.
17. Severence clause
    1. If any provision of this agreement is prohibited by law or judged by a court to be unlawful, void or unenforceable, the provision shall, to the extent required, be severed from this agreement and rendered ineffective as far as possible without modifying the remaining provisions of this agreement, and shall not in any way affect any other circumstances of or the validity or enforcement of this agreement.
